Terms Of Use



This TERMS OF USE AGREEMENT (the “Agreement”) is a legally enforceable contract between Salana Digital LTD, a limited liability company incorporated under the laws of the United Kingdom (“Salana Digital”), and the client, whether acting individually or on behalf of an entity (“Client”). This Agreement governs the Client’s access to and use of Salana Digital’s website, https://www.salanadigital.com (the “Website”), as well as any related media forms, channels, mobile websites, or mobile applications connected to it. By accessing or using the Website, the Client agrees to comply with all terms, conditions, and obligations outlined in this Agreement. If the Client does not agree to these terms, they are explicitly prohibited from using the Website and must cease use immediately. Following such cessation, the relationship between the Client and Salana Digital will terminate, with no further obligations between the parties, except for any outstanding payments owed by the Client to Salana Digital for services rendered, which will remain in effect.

 

  1. Intellectual Property Rights

Unless explicitly stated otherwise, the Website and all its contents are the exclusive property of Salana Digital. This includes, but is not limited to, the source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively referred to as the “Content”), as well as the trademarks, service marks, and logos featured on the site (the “Marks”). These elements are owned and managed by Salana Digital and are protected by copyright, trademark laws, and other relevant intellectual property laws and regulations of the United Kingdom, foreign jurisdictions, and international conventions. The Content and Marks are provided “As-Is” for your information and personal use only. Except as expressly authorized in this Agreement, no portion of the Website or Content may be copied, reproduced, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without the prior written consent of Salana Digital. Salana Digital retains all rights to the Website, Content, and Marks.




  1. Ownership of Materials

Unless explicitly stated otherwise, the Website and all its contents are the exclusive property of Salana Digital. This includes, but is not limited to, the source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively referred to as the “Content”), as well as the trademarks, service marks, and logos featured on the site (the “Marks”).   1. Third-Party Fonts

If any Project incorporates fonts that are not owned by Salana Digital and require a commercial license for the Client to legally reproduce, distribute, or publicly display the Project (“Third-Party Font(s)”), Salana Digital will notify the Client in writing. This notice will inform the Client that Third-Party Fonts have been used in the Project and that the Client must purchase the necessary licenses from the rights-holder(s) of the Third-Party Fonts to legally reproduce, distribute, or publicly display the Project. The notification will include sufficient details to enable the Client to identify the required licenses and contact the rights-holder(s) to purchase these licenses. Once Salana Digital has provided this notice, the Client assumes full responsibility for any consequences resulting from their failure to purchase the necessary licenses for any Third-Party Fonts used in the Project.

 

  1. User Representations

By using the Website, the Client represents and warrants the following: The Client has the legal capacity to agree to and comply with these Terms of Use; The Client is not a minor in their place of residence; The Client will not access the Website using automated or non-human methods; The Client will not utilize the Website for any illegal or unauthorized purposes; and The Client’s use of the Website will not breach any applicable laws or regulations.

 

  1. Prohibited Activities

The Client agrees to use the Website solely for its intended purposes and not for any unauthorized activities. The Website may only be used in connection with commercial activities related to Salana Digital’s services provided to the Client. Additionally, the Client agrees to refrain from the following activities:

 

  • Unauthorized use of the Website.
  • Retrieving data or content to create or compile a database or directory.
  • Circumventing, disabling, or interfering with security features of the Website.
  • Engaging in unauthorized framing or linking of the Website.
  • Deceiving, defrauding, or misleading Salana Digital or other users.
  • Interfering with, disrupting, or creating an undue burden on the Website or Salana Digital’s networks or servers.
  • Using the Website to compete with Salana Digital.
  • Deciphering, decompiling, disassembling, or reverse engineering any software comprising or making up any part of the Website.
  • Bypassing any measures designed to prevent or restrict access to the Website or any portion thereof.
  • Harassing, annoying, intimidating, or threatening any employees, independent contractors, or agents of Salana Digital providing services through the Website.
  • Removing the copyright or other proprietary notices from any Content.
  • Copying or adapting the Website’s software.
  • Uploading or transmitting (or attempting to upload or transmit) viruses, Trojan horses, or other harmful material that interferes with any party’s use of the Website or alters its features, functions, operations, or maintenance.
  • Uploading or transmitting (or attempting to upload or transmit) any material that acts as a passive or active information collection or transmission mechanism.
  • Disparaging, tarnishing, or otherwise harming Salana Digital.
  • Using the Website in a manner inconsistent with any applicable laws, statutes, or regulations.

 

  1. Client Feedback

The Client acknowledges and agrees that any questions, comments, suggestions, or other feedback provided (each a “Submission”) shall become the exclusive property of Salana Digital. Salana Digital is not obligated to maintain the confidentiality of any Submission or to take steps to ensure its confidentiality. Except for the rights granted to the Client under Paragraph 2 (“Ownership of Materials”), Salana Digital will hold all rights related to the Submission and may use and distribute the Submission for any lawful purpose at its sole discretion, without needing permission, acknowledgment, or compensation to the Client. The Client affirms that they have the right to make the Submission and hereby waives any claims against Salana Digital for its use of the Submission in accordance with these terms and at its sole discretion in the future.

 

  1. Management and Oversite

Salana Digital reserves the right to monitor the Website for any breaches of these Terms of Use and to take appropriate legal action in response to any violations of the Terms of Use or applicable laws, statutes, or regulations. Additionally, Salana Digital reserves the right to restrict or deny access to the Website or to disable the Client’s use of the Website at its sole discretion, without prior notice or liability to the Client. All decisions regarding the management of the Website are at the sole discretion of Salana Digital and are intended to protect Salana Digital’s rights and property.

 

  1. Privacy Policy

By using the Website, the Client agrees to comply with and be bound by the Privacy Policy, which is incorporated herein by reference. The Website is hosted in the United Kingdom. Accessing the Website from the EU, Asia, or other regions may subject the Client to different laws, statutes, or regulations regarding personal data collection, use, or disclosure compared to those in the United Kingdom. By continuing to use the Website and transferring data to the United Kingdom, the Client expressly consents to the transfer and processing of data in the United Kingdom. Salana Digital does not knowingly collect or solicit information from individuals under the age of 18. In compliance with the United Kingdom’ Children’s Online Privacy Protection Act, if Salana Digital becomes aware that it has received personally identifiable information from a child under the age of 13 without parental consent, it will delete such information as soon as reasonably possible.

 

  1. Returns and Refunds

Salana Digital retains the right to deny refunds at its sole discretion, without prior notice or liability to the Client. Refund requests are evaluated individually. If the Client requests a refund within the first month of use, all materials produced by Salana Digital remain the property of the company and the Client is prohibited from using them in any manner. Salana Digital reserves the right to pursue legal action against the Client for any breach of this provision.

 






 

  1. Modification

Salana Digital reserves the right to change, modify, amend, or remove any content on the Website for any reason at its sole discretion. Additionally, Salana Digital may modify or discontinue all or part of the Website without prior notice and without any liability to the Client.

 

  1. Connection Interruptions

Salana Digital does not guarantee or warrant continuous availability and accessibility of the Website. Issues related to hardware, software, or other factors may cause interruptions, delays, or errors beyond Salana Digital’s control. The Client acknowledges that Salana Digital shall not be held liable for any loss, damage, or inconvenience caused by the Client’s inability to access or use the Website during any such interruptions in connection or service.

 

  1. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of the United Kingdom without regard to conflict of law principles.

 

  1. Disclaimer

The Website is provided “as-is” and “as-available.” By using the Website and Services, the Client acknowledges and accepts that they do so at their own risk. Salana Digital explicitly disclaims all warranties, whether express or implied, regarding the Website and the Client’s use thereof, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

 

Salana Digital does not warrant or represent the accuracy or completeness of the Website or any content therein, nor the content of any linked websites. Salana Digital assumes no liability for any errors, inaccuracies, personal injury, property damage, unauthorized access to or use of secure servers, or any interruption of transmission to or from the site. This includes but is not limited to bugs, viruses, Trojan horses, or similar items that may be transmitted through the Website by third parties.

 

Salana Digital disclaims responsibility for any loss or damage incurred from the use of posted, transmitted, or otherwise available content on the Website. Additionally, Salana Digital does not warrant, endorse, guarantee, or assume responsibility for any products or services advertised or offered by third parties through the Website or linked websites.




 

  1. Limitations of Liability and Indemnification

Salana Digital, its directors, employees, members, independent contractors, or agents shall not be liable to the Client or any third party for any direct, indirect, consequential, incidental, special, or punitive damages, including but not limited to lost profits, lost revenue, lost data, attorneys’ fees, court costs, fines, forfeitures, or other damages or losses arising from the Client’s use of the Website.

 

The Client agrees to defend, indemnify, and hold harmless Salana Digital, its subsidiaries, affiliates, and all respective officers, members, agents, partners, employees, and independent contractors from any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) the Client’s use of the Website; (2) breach of these Terms of Use; (3) any breach of the Client’s representations and warranties herein; (4) the Client’s violation of the rights of any third party, including intellectual property rights.

 

However, Salana Digital reserves the right, at the Client’s expense, to assume control and defense of any matter for which the Client is required to indemnify Salana Digital hereunder. The Client agrees to cooperate with Salana Digital in the defense of such claims.



  1. User Data

The Client is solely responsible for all data transmitted or related to any activity undertaken using the Website. Salana Digital bears no liability to the Client for any loss or corruption of such data, and the Client hereby waives any right to take action against Salana Digital for any such loss or corruption.



  1. Electronic communications, transactions and signatures

The Client hereby consents to receive electronic communications from Salana Digital, and agrees that all agreements, notices, disclosures, and other communications sent via email or through the Website satisfy any legal requirement for written communication. The Client also agrees to the use of electronic signatures, contracts, orders, and other records, as well as electronic delivery of notices, policies, and transaction records initiated or completed by Salana Digital or through the Website.

 

Furthermore, the Client waives any rights or requirements under statutes, regulations, rules, ordinances, or other laws in any jurisdiction that necessitate an original signature, or the delivery or retention of non-electronic records, or require payments or credits to be granted by means other than electronic methods.

 

  1. Showcasing Design Work

Salana Digital reserves the right to share design work on digital channels, including social media and websites, unless otherwise agreed upon. The Client retains the right to request a non-disclosure agreement (NDA) between themselves and Salana Digital, which would negate Salana Digital’s right to publicly share or discuss the Client’s work.

 

  1. Referrals

Referral tracking and payouts are managed through our third-party partner, Rewardful.net.](http://rewardful.netm).

 

  1. Miscellaneous

These Terms of Use and any policies posted on the Website constitute the entire agreement and understanding between the Client and Salana Digital. Salana Digital’s failure to enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. If any provision or part of these Terms of Use is found to be unlawful, void, or unenforceable, that provision shall be severed from these Terms of Use without affecting the validity or enforceability of the remaining provisions herein. Nothing in these Terms of Use, the Privacy Policy, or on the Website shall be construed to create a joint venture, partnership, employment, or agency relationship between the Client and Salana Digital.
